End-User License Agreement (EULA)

1. Acceptance of Terms

​

By accessing or using XtraPOS Cloud, you agree to be bound by this End-User License Agreement ("Agreement"). If you are using the software on behalf of a business, you represent that you have the authority to bind that entity to these terms.

2. License Grant

​

Progressive Systems Ltd grants you a limited, non-exclusive, non-transferable license to access and use XtraPOS Cloud solely for your internal business operations. This is a subscription-based service provided as Software-as-a-Service (SaaS), and no ownership of the underlying software is transferred to you.

3. Third-Party Integrations & Accounting Systems

​

XtraPOS Cloud offers the ability to integrate with third-party platforms, including but not limited to accounting software, payment gateways, and cloud storage providers.

  • Authorisation: By connecting XtraPOS Cloud to a third-party service, you authorise the automated exchange of data (such as sales totals, inventory, and tax records) between the platforms.

  • Accuracy of Data: You are responsible for ensuring that all data mapping, account codes, and VAT settings are correctly configured. We are not liable for errors in your financial records or tax filings resulting from incorrect configuration or third-party API failures.

  • Third-Party Terms: Your use of integrated services is also subject to the terms and conditions of those specific providers.

4. Use Restrictions

 

To maintain system security, you agree not to:

  • Attempt to reverse-engineer, decompile, or bypass the security protocols of XtraPOS Cloud.

  • Use the software for any fraudulent transactions or to circumvent local fiscal or VAT regulations.

  • Access the software via unauthorized automated methods.

5. API Usage & Access

​

If you access XtraPOS Cloud via our Application Programming Interface (API), the following terms apply:

​

  • Permitted Use: You may use the API solely to integrate your business data with authorised third-party applications or internal systems.

  • Rate Limiting: We reserve the right to monitor and limit the number of API requests you make to ensure system stability. Excessive "polling" or requests that degrade service for other users may result in temporary or permanent suspension of API access.

  • Security: You are responsible for the security of your API keys. Any actions taken using your keys will be deemed your responsibility.

  • Modification: We may update or modify API endpoints. We will provide reasonable notice for breaking changes, but you are responsible for maintaining your own integrations.

6. Service Availability & Internet Dependency

​

As a cloud-based solution, XtraPOS Cloud requires a stable internet connection. While we strive for 99.9% uptime, we are not responsible for service interruptions caused by your local network provider or downtime in third-party accounting systems.

7. Limitation of Liability

​

To the maximum extent permitted by the Laws of Malta, Progressive Information Systems Ltd shall not be liable for any indirect, incidental, or consequential damages—including loss of profits or data—arising out of the use of XtraPOS Cloud. Our total liability is limited to the fees paid for the service in the six months preceding the claim.

8. Termination

​

We reserve the right to suspend or terminate access for non-payment or breach of these terms. Upon termination, all automated data syncs to third-party accounting systems will be disabled.

9. Governing Law

​

This Agreement is governed by the Laws of Malta. Any disputes shall be subject to the exclusive jurisdiction of the Maltese Courts.
